SUMMARY - With over 30 years of merger and acquisition, project finance and corporate finance experience in the engineering/construction, energy, and infrastructure markets, I have had responsibility for: the implementation of several acquisition and divestiture programs totaling over $1 billion; the project finance activities of a project development firm that completed financings totaling over $2 billion; the start-up of two financial services subsidiaries. · Mergers & Acquisitions – Led global acquisition activity for over 15 years. Completed 15 acquisitions totaling $800 million, many with significant international operations.
· Equity Investments – Led formation of new finance company to invest in projects, technology commercialization opportunities and joint ventures. CH2M was a global project delivery firm with active projects in over 40 countries, revenues in excess of $6 billion and a significant presence in the water, transportation, energy, telecom, and environmental markets in both the municipal and private sectors.
· Privatization – Led efforts to structure investments in infrastructure projects. Awarded first wastewater privatization projects in Brazil and Canada, and several US Department of Defense privatization projects.

· Operations - Responsible for all financial operations of $1.5 billion engineering and construction subsidiary of Waste Management Inc. Reported to President and participated in formulating business plans and managing significant operating issues. Responsibilities included budgeting, reporting, audit/control, Rust Capital, tax and insurance and acquisitions/divestitures.
· Initial Public Offering - Participated in structuring $1.3 billion Rust IPO involving four separate existing public companies.
· Acquisitions - Responsible for corporate acquisition program focused on international expansion in Europe and Southeast Asia resulting in acquisitions totaling $350 million.
· Rust Capital Corporation – Formed new finance company to pursue project finance opportunities.
WHEELABRATOR TECHNOLOGIES, INC., Hampton, NH

· Project Financing - Responsible for arranging non-recourse project financing and negotiating equity participation in alternative energy projects. Successfully closed projects totaling over $1 billion in financing, including a $300 million project financing of a grassroots methanol facility in Chile. Financings included participation by Japanese trading companies; International Finance Corporation, commercial banks and local partners.
· Project Development - CFO of subsidiary formed to develop, finance, own and operate domestic alternative energy projects. Projects included waste wood, waste coal and agricultural waste.
· Divestitures - Assisted corporate restructuring through leading negotiation of the sale of several businesses for the Henley Group.
